TERMS & CONDITIONS. 

Samm Caulin Publishing – Instrumental / Beats License Agreement

1. Grant of License:
Samm Caulin Publishing (“the Creator”) grants the purchaser a limited, non-exclusive, non-transferable license to use the instrumental beats and stems (“Content”) contained in this pack. These are licensed as derivative works, as defined under the United States Copyright Act.

2. Rights & Exclusivity Disclaimer:
This agreement does not constitute an exclusive publishing, management, or record deal of any kind.

By using this pack, you acknowledge:

• You are not being signed to Samm Caulin Publishing.

• No part of this agreement restricts your broader rights as an artist, songwriter, or producer outside of works derived from this Content.

• All works created using these instrumentals must comply with the licensing terms outlined in this agreement.

• This license is non-exclusive and offered to support creators without restricting their independent careers or catalogs.

3. Permitted Use (Non-Commercial Use Only):
By purchasing this pack, you are granted the right to:

• Write toplines, record vocals, and create new songs using the instrumentals (“derivative works”).

• Share your works privately or for non-commercial purposes, including unmonetized social media content (e.g., Instagram, TikTok, YouTube Shorts).

However:

• No public release to digital service providers (DSPs) (e.g., Spotify, Apple Music) is allowed.

• No monetized use is permitted unless explicit written permission and a commercial license are granted.

4. Commercial Licensing Path:
To commercially release any work derived from this Content (including distribution to DSPs, monetized YouTube use, sync licensing, or inclusion in a monetized campaign), you must:

• Submit your finished work to info@teddymarquee.com for licensing consideration.

• Receive written approval and a commercial license from Samm Caulin Publishing.

Important:

• Purchase does not guarantee approval for commercial licensing.

• Not all submissions are guaranteed to be reviewed and listened to. Submission does not obligate Samm Caulin Publishing to listen, respond, or provide feedback.

• If your work is reviewed and approved, terms for revenue sharing, songwriting credits, publishing splits, and master rights will be negotiated on a case-by-case basis.

5. Social Media Usage (Non-Profit Clause):
You may use these beats in non-commercial social media content, including posts, reels, or TikToks, as long as the content is not monetized, sponsored, or promoting a product or paid service.

We appreciate (but do not require) crediting samm caulin publishing in post captions.

If your content later becomes part of a monetized campaign, ad, or branded promotion, you must contact us to upgrade your license.

6. Copyright Ownership:
All rights to the underlying instrumental music and stems remain solely owned by Sam Schummer of Samm Caulin Publishing.
No transfer or sale of rights is implied by purchase of this pack.
